1. Business Partnership & Services
Vamriit Pharmaceuticals provides two primary pharmaceutical distribution models under these terms:
- PCD Pharma Franchise: Standard distribution partnerships with exclusive monopoly rights for specific territories.
- Third-Party Manufacturing: Contract manufacturing services using our WHO-GMP facilities to build and package products under your custom brand names.
2. Franchise Eligibility & Licensing
To enter into a formal PCD Pharma Franchise agreement, the applicant must possess and supply valid legal credentials, including:
- A valid Drug License issued by local state authorities.
- A active GST Registration Number.
- Compliance with minimal initial order values as defined by the company's territory assignment policies.
3. Territory Monopoly Rights Policy
We grant exclusive, district-level monopoly rights to our approved PCD partners. To retain exclusive territory rights, partners must comply with the following guidelines:
- Zero Cross-Border Supply: Distributors must supply Vamriit products strictly within their assigned territorial boundaries. Supplying products into another active partner's territory is ground for immediate agreement termination.
- Minimum Performance: Partners must maintain consistent monthly or quarterly order levels to safeguard their exclusive monopoly status. Extended inactivity may lead to territory re-assignment.
4. Distribution Protection Program Guidelines
Our risk protection program is designed to secure distributor capital. Eligibility rules include:
- Distributors earn protection credits up to 10% of their cumulative purchase volume in a billing cycle.
- Credits can only be redeemed for approved stock support credits and cannot be converted to physical cash.
- Approved claims must be filed within active shelf-life limits as outlined in the credit program catalog.
5. Dispatch, Logistics & Deliveries
We prioritize prompt distribution logistics from our Yamuna Nagar warehouse:
- Dispatch Timelines: PCD orders are processed and dispatched within 24 to 48 hours under normal conditions. Contract third-party manufacturing timelines range between 20 to 30 days.
- Damages & Shortages: Any transport transit damage or stock count shortages must be reported with photographic proof within 3 days of cargo delivery.
6. Intellectual Property & Copyright
All website content, including text, logos, corporate colors (navy, gold), page layouts, coding scripts, and product brand names (such as ESOKINT-DSR, PREDNIMS-4, VAFROX-200, CUFROT, CEFIVAM-50, FENORID-P, HIKMONT) are the exclusive intellectual property of Vamriit Pharmaceuticals Pvt. Ltd. and are protected by applicable trademark laws.
7. Governing Law & Dispute Resolution
These terms and any franchise agreements signed under them are governed by the laws of India. Any disputes arising between Vamriit Pharmaceuticals and its partners shall be subject to the exclusive jurisdiction of the courts located in Yamuna Nagar, Haryana.
